BHUTANESE CANADIAN ASSOCIATION OF WINDSOR AND ESSEX COUNTY

BY-LAW NUMBER ONE (1)

  1. HEAD OFFICE

The Registered Office of the Association shall remain in city of Windsor and Essex in the province of Ontario, Canada.

  1. FISCAL YEAR

The fiscal year of CBCA shall be from the first day of January to the thirty-first day of December

 

  1. MEMBERSHIP
    • All Nepali speaking individuals 18 years and older are the members of the CBCA living in Windsor and Essex ON who will be benefited from any activities/program/events organized by CBCA but will not be eligible to vote or to be nominated for the Board of Directors or any special committees and are called Inactive Member.
    • Any Nepali speaking Bhutanese 18 and older interested in becoming members of CBCA shall apply to the Board by filling the “Membership Application of CBCA” who is eligible to cast a vote and can be nominated for the Board of Directors and special committees are called Active Member
    • “Family” will deem to include all the persons 18 years or older living under one roof if interested shall apply to the Board by filling the “Family Membership Application of CBCA” who is eligible to cast a vote and can be nominated for the Board of Directors and are called Active Member.
    • “Honorary Member” recommended by CBCA.
    • Organizational Member
  1. MEMBERSHIP FEE
    • Individual member $5.00
    • Family Member $10.00
    • Organizational Member $100.00
    • Life-Long member $251.00

 

  1. BOARD OF DIRECTORS
    • Any Director who consistently misses the Board meetings with any notice and does not perform duties of a Director for at least six (6) months, shall be removed from the Board with an unanimous vote of the remaining members of the Board, If the activities of a Director are considered not in the best interest of CBCA by 4 of the Board members, then by passing a motion, the Board can bring the matter to the general membership meeting to remove the Director from the office.
    • The Board shall elect, for a three years of term, people for all the positions, among themselves. One person may hold more than office except the office of Chair Person and Vice Chair Person but the Chair Person or Vice Chair Person can hold another office in case of a necessity.

 

  1. MEETINGS
    • The meetings of the Board shall be held as per the need of CBCA.
    • The Chair Person and Vice Chair Person, the secretary or two directors may call for a special meeting of the Board.
    • If there is no quorum at a meeting of the Board, the meeting may continue to discuss the matters on the agenda. In such a meeting, motions may be passed, which shall be valid only after their acceptance by a majority vote in a meeting with proper quorum.
    • The Chair Person shall not vote in a meeting except to break a tie vote.
    • In an absence of Chair Person, Vice Chair Person shall conduct the meeting, and if both are absence secretary will conduct the meeting.
    • Any meeting may be adjourned by the consent of the majority. In next meeting any unfinished business from the adjourned meeting shall be attended first.
    • All the meeting minutes shall be kept in record and is any activity member can request to view the meeting minutes.
  1. VOTES
    • Only Active members and honorary members shall be eligible to vote at any general meeting of CBCA.
    • A proxy vote assigned to a specific person is acceptable but not more than 2 proxy vote.
    • Proxy vote count towards quorum.
  1. SOURCE OF INCOME
    • Source of income of CBCA will be generated from Membership fee, Donation, Govt Grant and Fund raising events.
  1. BUDGET
    • All financial matters of CBCA shall be operated through proper budgeting process only. The Board must approve the budgeting process and budget for any activities carried by CBCA.
    • All special committee must submit the budgets before one month of carrying any activities and must submit all the expenses receipt to the Treasurer after one week of completion of the events.
    • The Board shall decide the amount of petty cash.
    • CBCA will practice to conduct any financial purchases using its debit or credit card.
    • Atleast 2 out of 3 signing authorities registered with the bank must sign any cheque or contract on behalf of CBCA
    • The Board shall establish who the signing authorities are going to be.
  1. BORROWING
    • CBCA shall borrow monies to cover the fixed expenses when the events funds have not arrived.
    • The Board shall approve the amount of borrowing and 3 Board members shall be involved in the borrowing and settling the borrowed amount.
